Transaction Details

Under the terms of the agreement, ZeroFox will acquire LookingGlass for approximately $26 million, primarily in stock (9.4 million shares), combined with convertible debt and cash, subject to purchase price adjustments and performance earnouts. The acquisition is expected to close within the next 30 days. ZeroFox will provide additional guidance during the Q1 FY24 earnings call.

Task team to fast-track Marianhill police station construction

The KwaZulu-Natal provincial government has recommended the establishment of a multi-agency task team that will fast-track the construction of a new police station in Mariannhill, near Pinetown.

Economic Development, Tourism and Environmental Affairs MEC, Siboniso Duma, made the announcement during his oversight visit to the Marriannhill Police Station on Sunday.

Duma, who is also a leader of government business, led the provincial government delegation during the Premier’s Crime-Fighting Imbizo, held at KwaNdengezi sport field.

Duma said the move to build the new police station follows Premier Nomusa Dube-Ncube’s announcement on drastic interventions to take the war to criminals and build safer communities, made during the State of the Province Address in February.

Mariannhill has made headlines due to acts of extreme violence and wanton shootings of people by brazen criminals.

These include five people who were gunned down in a vehicle repair workshop in February and 14 people killed in separate incidents, which left the community living in fear.

The construction of the new police station is the provincial government’s commitment to increase law enforcement in KwaNdengezi and surrounding areas, which are serviced by Mariannhill and KwaNdengezi police stations.

Duma said the National Department of Public Works and Infrastructure Development, together with eThekwini Municipality, have identified land to build a new police station in Mariannhill.

Once formed, the task team which will include three spheres of government, will meet regularly to clear all bottlenecks that may delay the construction of the new police station.

The MEC said the police station will be a modern facility with advanced technology, which will respond to the provincial government’s resolve to confront crime head on and close all spaces for criminals.

“The new police station will go a long way in fighting rampant crime in Mariannhill, Mariannridge, Dassenhoek, KwaNdengezi and surrounding areas. As government, we cannot rest on our laurels while our communities are held at ransom by criminals who kill with impunity.

“The new police station will allow for quicker response times to emergency situations, provide a more visible policing and offer specialised services to the community.”

Duma condemned the multiple killings of people, including the proliferation of drug dens and drug abuse by young people in these areas, and urged the communities to work with government and police to root out crime in KwaZulu-Natal.

Police officers who are suspected of colluding with criminals in the commission of crime in the area were also condemned. Meanwhile law enforcement officers were urged to operate in a fair and just manner, while serving the community.

However, Duma warned that building a new police station alone may not be enough to address the root causes of crime in the community.

“Addressing poverty, inequality, and social ills also plays a critical role in reducing crime rate,” he said.

The MEC also visited KwaNdengezi Police station to monitor crime and gender-based violence (GBV) cases, as well as challenges faced by the police stations.

During his visit to the two police stations, Duma unveiled two park homes that will serve as victim-friendly rooms where GBV victims will receive psycho-social support. – SAnews.gov.za

Public comment sought on exclusion of expansion of solar PV from environmental authorisation

Forestry, Fisheries and the Environment Minister, Barbara Creecy, has begun the public consultation process on the intention to exclude the development and expansion of solar photovoltaic (PV) and battery storage facilities from the requirement to obtain environmental authorisation.

The intention of the proposed exclusions is aimed at improving the efficiency of the environmental assessment process.

“In addition, these exclusions intend to simplify the deployment of solar PV and battery storage facilities, to expedite the generation of electricity from renewable energy resources, facilitate the distribution of this generation capacity and contribute to addressing the existing electricity shortages currently being experienced by the country,” said the Department of Forestry, Fisheries and the Environment.

In a statement on Monday, the department said the exclusions apply when the facilities are developed in areas confirmed to be of “low” or “medium” environmental sensitivity and will be subject to a site sensitivity verification, compliance to a site-specific environmental management programme and a registration process.

This is in line with the sector’s ongoing efforts to simplify the environmental legislative impact assessment framework for energy projects whilst ensuring that environmental protection is not compromised.

Mineral Development Fund builds community centre for Ahansonyewodea

The Obuasi East District Assembly in collaboration with the Minerals Development Fund (MDF), has commissioned a multi-purpose community centre at Ahansonyewodea, a mining community in Obuasi.

The facility, which will serve as venue for all forms of social activities and funded by the MDF at a cost of GHC 400,000.00, is part of three projects selected by the Local Mining Committee (LMC) to be constructed from the Fund.

With the commissioning of the ultra-modern facility, residents would no longer hire canopies and chairs at exorbitant prices for their social events, thereby bringing huge relief for the people.

The facility comes with spacious auditorium, lavatories, additional rooms as well as a mechanised borehole.

Madam Faustina Amissah, the District Chief Executive (DCE) for Obuasi East, at a ceremony to commission the facility, said the construction of the centre was an indication of judicious use of the fund for the benefit of mining communities.

‘Since the LMC was formed in 2020, this is the first project we have commissioned. Currently, the construction of CHPS compound and Nurses quarters at Kwameduakrom is progressing steadily while another CHPS compound and Nurses quarters at Anyimadukrom will start in earnest,’ the DCE revealed.

She called for effective management of the facility and expressed hope that revenue generated from the usage of the centre would help maintain it.

The MDF was set up by the Minerals Development Fund Act, 2016 (Act 912) to provide financial resources for the direct benefit of mining communities, institutions responsible for the development of the mining sector, as well as traditional and local government.

The passage of the MDF necessitated the formation of LMCs to administer the fund, which was previously lodged and managed through the Consolidated Fund.

The LMC is responsible for selecting projects for beneficiary communities while the MDF secretariat provides funding for the approved projects.

Mr. Kwaku Sakyi Addo, Board Chairman of the MDF lauded the Local Management Committee in the District for spearheading the construction of the project.

He said the project would immensely help the community who struggled to find a place to host their social events and gatherings.

He admonished the community to maintain the facility to stand the test of time saying, ‘this project emanated from a needs assessment done by the LMC, which means it is the project the community has called for. I will entreat you to own it and protect it to serve future generations,’ he stated.

CSIR donates ‘Thanksgiving proceeds’ to National Cardiothoracic Centre

The Council for Scientific and Industrial Research (CSIR) has donated the proceeds from its annual Thanksgiving service totaling 10,000 Ghana cedis to the National Cardiothoracic Centre (NCTC) to support their efforts in providing quality healthcare to Ghanaians.

The donation is part of corporate social responsibility (CSIR) initiatives and a commitment by the Council to improving the lives of people, particularly the most vulnerable in society.

The National Cardiothoracic Centre is one of the leading healthcare facilities in Ghana, providing specialised treatment for heart and lung diseases.

The donation from CSIR will go a long way in supporting the centre’s mission to provide affordable and accessible healthcare to all Ghanaians.

On behalf of the Director-General of CSIR, Professor Paul Pinnock Bosu, Mrs. Genevieve Yankey, Director of Administration, CSIR, presented both the dummy cheque and the original cheque to Professor Mark Tettey, Ag. Director, NCTC.

Mrs. Yankey, who was flanked by Ms. Benedicta Nkrumah-Boateng, Head of Corporate Affairs, CSIR, presented the Council’s vision and mission as the foremost science, technology, and innovation institution with the goal of harnessing the power of science and technology to create wealth through research and the development of innovative technologies to accelerate Ghana’s industrial development.

She emphasised that the donation was in line with Council’s commitment to supporting the development of science and technology in Ghana, and expressed hope that it would contribute to the growth of NCTC and its efforts to promote science education in the country.

She further stated that in 2015, the council hosted its first Thanksgiving ceremony for the southern sector institutes, during which renowned clerics led CSIR in praise and thanksgiving to God for his blessings, and that the occasion has since rotated among the Accra institutes.

The Thanksgiving ceremony has become an annual event that brings together staff, stakeholders, and partners to reflect on the achievements of the council and give thanks for their successes.

The CSIR hopes to continue supporting initiatives that promote science education and development in Ghana through similar donations and events.

She explained that, in addition to serving as a corporate platform to express gratitude to God, the money from the offerings was sent to the Korle-Bu Teaching Hospital to fund the National Cardiothoracic Centre as part of the CSIR’s corporate social responsibility.

Professor Mark Tettey, Ag Director, NCTC, said the donation would go a long way in assisting the Cardiothoracic Centre to provide adequate healthcare services to patients, and commended the CSIR’s commitment to supporting healthcare in Ghana, saying ‘this is commendable and should be emulated by other organisations.’

On the sidelines of the presentation, he told the Ghana News Agency that the centre received roughly 14 theatre patients every month, while the outpatient department alone handled over 1000, and another 50 to 60 patients were hospitalised each month.

He added that as over 90 percent of patients cannot afford treatment, the donation would help to improve the centre’s capacity to provide quality healthcare services and reduce the burden on patients who travel long distances to access healthcare.

Professor Tettey also stated that the centre relied heavily on the generosity of individuals and corporate organisations and urged other organisations to emulate the CSIR’s example and support healthcare at the national cardiothoracic centre.

He further emphasised the need for more support from both the public and private sectors to help the centre repair its broken down facilities and provide services to meet the growing

demand for cardiovascular care in Ghana, stating, ‘If we can get just one million Ghanaians to donate a bottle of Fanta every month [the monetary value of a bottle of Fanta] to the centre, we can do surgeries free of charge and we don’t have to be going to TVs and others.’

Professor Tettey’s called for support from individuals and corporate organisations highlights the importance of collective efforts in improving healthcare in Ghana, and with more support from both the public and private sectors, the national cardiothoracic centre could expand its facilities and services to meet the growing demand for cardiovascular care, ultimately providing free surgeries to those who need them most.
